Yesterday, 12 May Ifere Paul, Cross River leading public policy analyst, environmental activist and revered whistle blower, published documents alleging the ownership of Cross River State Textile and Garment Factory not to be CRS government but to be Governor Ben Ayade's relatives and allies — Edward Otu-Obi Atachak of No 1 Basic School Road Okundi, Boki LGA and Barr Emmanuel Ubua of No 75 Market Road Obudu Cross River State.
This incited a handful of reactions from Cross Riverians and non Cross Riverians alike. Below is a cross section of what they said:

Ifere Paul, based on my understanding the Cross River State Government had set up and registered many Special Purpose Vehicles (SPV) with the CAC for the purpose of pursuing the economic investment agenda of Governor Ayade so it might not be fraudulent

•CROSS RIVER TANK FARM CITY LTD.

As you can see, our Governor has tremendous foresight in setting up these SPV's for our economic progress and explains why he is arranging MOU's with foreign investors to achieve his vision.

No body should defend his fraud ! The share capital of the Cross River State Garment Factory Limited is 10 nillion.
The certficate of incorporation shows that it was registered on the 23rd June 2015 less than one month after the inauguration of Governor Ben Ayade.
This means that the pre incorporation documentation of the Cross River State Garment Factory Limited May have started before Governor Ayade was inaugurated Governor on the 29th May 2015! The two directors of Cross River State Garment Factory Limited are Dr Edward Otu-Obi Atachak of No 1 Basic School Road Okundi ,Biko LGA and Barr Emmanuel Ubua of No 75 Market Road Obudu Cross River State.
Dr Atachak was alloted 1,500 , 000 shares while Barr Emmanuel Ubua was also alloted 1,500 ,000. There is no indication in the Certficate of Incorporation of Cross River State Garment Factory Limited that it belongs to the Government of Cross River State of Nigeria!
So far more than N2.7 billion of funds belonging to the Government and people of Cross River State of Nigeria has been invested into the so called Cross River State Garment Factory Limited when it ownership is shrouded in dubiety!
The question is who owns the Cross River State Garment Factory Limited? Was there budgetary allocation for the building of the Cross River State Garment Factory in Calabar?

Richard we need to get evidence of how such decision was taken to set up SPVs. Did the Cross River State House of Assembly at any time consider and approve the establishment of the SPVs? How were the directors of each of the SPVs determined?

Chai Richard Duke! If any or all these companies are set up with individual persons as directors, boy, big questions arises! With what bank accounts will the companies be operating ? Personal or government's account. Who will or are the signatories? Cross River State has long had investments before well housed in investment establishments as corporate legal bodies. Why not resident these so called investments with these bodies and not individuals? Something looks amiss !

This is my specialty, for the avoidance of doubt my specialty is corporate funding and governance. A company can either be Private, public or unlimited. it depends on registration and the maximum number of shareholders and the liability. Most importantly, it doesn't mean that because a company is said to be a private company, then it does not belong to a government. the government can still be a shareholder or more so the major shareholder, so its not out of place. i had in my recommendation to the S.A. tourism then advocated that the Ranch be run as a full company and not as an appendage of Government. Nothing spoil yet, so calm down.

If the house of Assembly approved the formation of Special purpose vehicles to achieve the states development goals, then let's look at the articles and let's also review the position of the States Attorney General on the SPVs, if they are all in sync then we have no case, these are how PPPs are organized , if not, that's when we can complain. It is important the people are well informed on these matters.

Sometime ago, I published an article about the activities of the governor to mortgage the state. A day after he was served with the Supreme Court papers from Joe Agi SAN.
How he instructed the accountant general to lift monies that was stockpile over time for the purpose of buying justice. I recall that I mentioned Barr. Alphonsus O. Eba as being mandated to open 20 companies using the name of the state but with directors drawn from Ayade's immediate family.
Today I am vindicated as these evidences have proven beyond reasonable doubt the dubious activities of the governor and his cohorts. The time to blow the trumpet is now. Kudos Ifere for a job well done
